By using our website (this “Site”) and the Didi Hirsch Academy (“Academy”) information/training services, you are agreeing to be bound by these terms and conditions (“Terms”).  This Site is owned and controlled by Didi Hirsch Mental Health Services, a California non-profit corporation (“DHMHS, “our” “we” or “us”).  

THESE TERMS AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. IF YOU DO NOT AGREE TO BE BOUND BY ALL OF THESE TERMS, DO NOT ACCESS OR USE THIS SITE.

Permission to Use the Service

We grant you a limited, nonexclusive, nontransferable right to access this Site and its content for your personal, noncommercial use according to these Terms. By using this Site, you represent that you are at least 13 years of age, that all information provided by you is truthful and accurate, and you agree to use this website in accordance with these Terms.  

Availability

We shall use commercially reasonable efforts to provide continuous access to the Site. We do not guarantee that the Site will be accessible at all times. This Site may be unavailable during maintenance periods or during an emergency. In addition to normal maintenance, there may be events that will make the Site inaccessible for a limited amount of time due to unforeseen circumstances.

Our Services

The content of our courses and this site are for informational purposes only. The information provided should not be considered or used as a substitute for professional medical or mental health advice, treatment or diagnosis. Rather, our trainings are designed to educate consumers about the availability of these services and provide information about where you can seek qualified mental health services if you feel you need them. If you are thinking about hurting yourself or are know someone who may be in danger of hurting himself or herself, please call 911 or National Suicide Prevention Lifeline at 988.

Limits of Your Use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

• For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation.
• In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
• To impersonate or attempt to impersonate us, our employees, another user or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing).
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm us or users of the Site or expose them to liability.
• To introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.
• To use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.
• To use any device, software or routine that copies, monitors or interferes with the proper working of the Site.
• To attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer or database connected to the Site.
• To otherwise attempt to interfere with the proper working of the Site.

Licensing and Ownership/Intellectual Property

By using our services, you do NOT acquire any ownership, license or other right to any intellectual property, content or any aspect of the services used. None of the content may be reproduced or redistributed without our written permission. These Terms do not grant you the right or license to use any branding, photos, or logos used in our services. You are not to remove, obscure, or alter any branding, logos or legal notices displayed in or along with our services. 

Copyright Protection

All the web pages on this Site are copyrighted material and are not to be sold, distributed, or shared electronically or by any other means. The Academy has two types of web pages on its site: The first type is the publicly accessible web pages and the other type is the restricted web pages that are accessible only after readers have paid for an online course. The publicly accessible web pages may be used for the sole use of the individual reader. Links to the Academy’s publicly accessible pages can be posted on the web, unless these links are part of operations that are generating profit by using the material. In this case written permission from the Academy is required. Posting or sharing the link to the restricted, non-publicly accessible web pages is not permitted. The written permission of the author is required for any other reproduction, transmission or use of the material or portion of the material.

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

Your Academy Account

You may need an Academy account in order to use some of our services. You may create your own Academy account, or your account may be assigned to you by an administrator, such as your employer or educational institution. If you are using an Academy account assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account.

To protect your Academy account, keep your password confidential. You are responsible for the activity that happens on or through your account. Try not to reuse your account password on third-party applications. If you learn of any unauthorized use of your password or Academy account, please contact [email protected].

Privacy

The confidentiality of any information submitted on this Site cannot be guaranteed. Information transmitted over the internet may be intercepted and may not be secure. Please see our Privacy Policy, available here, for further information.

Warranties and Disclaimers

We hope you are enjoying using our services. We provide our services using a commercially reasonable level of skill and care. However, your use of our services is at your sole risk. We do not make any commitments about the content within the services, the specific functions of the services, or their reliability, availability, accuracy, or ability to meet your needs. We provide the services “as is”.  In addition, we hereby expressly disclaims all warranties, statutory or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, non-infringement, title, custom, trade, quiet enjoyment, system integration and freedom from computer virus. 

We also do not warrant that your use of this Site is lawful in any particular jurisdiction, and the parties specifically disclaim such warranties. Some jurisdictions limit or do not allow the disclaimer of implied or other warranties so the above disclaimer may not apply to you to the extent such jurisdiction’s law is applicable to you and these terms.

We do not monitor, verify or endorse information submitted by other parties for posting on our website discussion or community boards. You should be aware that such information may be inaccurate, incomplete or out of date.  

Cooperation with Law Enforcement and Government Agencies; Required Disclosures

You acknowledge that we have the right to investigate and prosecute violations of these Terms, including intellectual property, publicity and privacy rights infringement and website security issues, to the fullest extent of the law.  We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.  You acknowledge that we have no obligation to monitor your access to or use of the Site, but we have the right to do so for the purpose of operating the Site, to ensure your compliance with these Terms or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental or regulatory body.

Disclaimer of Warranty and Limitation of Liability for our Services

While we hope that the Academy’s services are beneficial to you, you understand, agree and acknowledge that they may not be the appropriate solution for everyone’s needs and that they may not be appropriate for every particular situation and/or may not be a complete substitute for a face-to-face examination and/or care in every particular situation.

IF YOU ARE THINKING ABOUT SUICIDE OR IF YOU ARE CONSIDERING HARMING YOURSELF OR OTHERS OR IF YOU FEEL THAT ANY OTHER PERSON MAY BE IN ANY DANGER OR IF YOU HAVE ANY MEDICAL EMERGENCY, YOU MUST IMMEDIATELY CALL YOUR LOCAL EMERGENCY SERVICES NUMBER AND NOTIFY THE RELEVANT AUTHORITIES (click here and here for links to emergency and crisis resources in the United States). THE ACADEMY IS NOT DESIGNED FOR USE IN ANY OF THE AFOREMENTIONED CASES AND CANNOT PROVIDE THE ASSISTANCE REQUIRED IN ANY OF THE AFOREMENTIONED CASES.

YOU UNDERSTAND, AGREE AND ACKNOWLEDGE that the total liability of Didi Hirsch Mental Health Services, and its suppliers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the services (or, if we choose, to supply you the services again).

In all cases, Didi Hirsch Mental Health Services, and its suppliers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable.

Modifying and Terminating our Services

We are constantly changing and improving our website, so changes in functionalities, features or design may be made at any time. We reserve the right to change, modify, substitute or remove without notice any information on the website from time to time. We assume no responsibility for the contents of any other websites to which the website has links.   

You can stop using our services at any time. The Academy may also terminate your access to the services if you are in violation of these Terms.

Interpretation and Venue

These Terms are governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of conflict provision or rules. Headings in these Terms are for convenience only and shall not control, limit, amplify or otherwise modify or affect these Terms or the meaning and construction of these Terms. These Terms are to be interpreted according to their fair meanings, and not strictly in favor of or strictly against either you or us.  

By contacting us through this Site, you are directing your communication to us in California. You accept jurisdiction in California over any dispute that may arise from your accessing, visiting or using this Site. Any controversy or dispute arising out of your use of this Site shall be, where permitted pursuant to these Terms, submitted exclusively to the Federal and State Courts located in Los Angeles, California, and you irrevocably submit to the exclusive jurisdiction of such courts and waive any objection based on improper venue or inconvenient forum.

Entire Agreement/Severability

These Terms constitute the entire agreement between you and DHMHS and governs your use of this Site, superseding any prior agreements between you and DHMHS. If any provisions of these Terms is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed removed and shall not affect the validity and enforceability of the remaining provisions. These Terms do not confer any third-party beneficiary rights.

Change to Terms

We may modify these terms to, for example, reflect changes to the law or changes to our services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a service or changes made for legal reasons will be effective immediately.
